1) TERMS OF SERVICE (Terms & Conditions) — URBEE LLC

Welcome to URBEE LLC (“URBEE,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of https://urbeeshop.com/ (the “Site”) and any purchases made through the Site (collectively, the “Services”). By using the Services, you agree to these Terms.
If you do not agree, do not use the Services.
1) Eligibility
You must be at least the age of majority in your state/territory, or have the consent of a parent/guardian, to use the Services.
2) Changes to the Services and Terms
We may update the Services and these Terms from time to time. The “Last updated” date indicates when changes were made. Continued use after changes means you accept the updated Terms.
3) Products, Pricing, and Availability
• Product descriptions: We strive to provide accurate product information, but we do not warrant that descriptions, colors, sizing, or other content are error-free. Colors may vary by device/screen.
• Availability: Inventory is limited and products may sell out without notice.
• Pricing: Prices are shown in U.S. dollars (USD) unless otherwise stated. Taxes and shipping are added at checkout as applicable.
• Errors: If a product is listed at an incorrect price or with incorrect information, we may cancel or refuse orders at our discretion.
4) Orders and Payment
• Order acceptance: Your order is an offer to buy. We may accept, reject, or cancel orders for any reason (including suspected fraud, inventory issues, or errors).
• Payment processing: Payments are processed by third-party payment processors. We do not store full payment card details on our servers.
• Billing accuracy: You agree to provide current, complete, and accurate purchase and account information.
5) Shipping and Delivery (U.S. Only)
• We ship only within the United States at this time.
• Estimated delivery dates are not guaranteed. Delays may occur due to carriers, weather, or other circumstances beyond our control.
• Address accuracy: You are responsible for providing a correct shipping address. Additional fees may apply for reshipments.
• Risk of loss: Title and risk of loss pass to you upon our delivery of the package to the carrier, to the extent permitted by law.
6) Returns, Exchanges, and Refunds
Returns and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Please read it carefully.
7) Promotions, Coupons, and Bundles
Promotions may have additional terms (limits, exclusions, expiration). We may modify or discontinue promotions at any time. Coupon stacking is not allowed unless explicitly stated.
8) Intellectual Property
All content on the Site—including logos, brand names, designs, graphics, images, videos, product names, and text—is owned by URBEE or licensed to URBEE and is protected by intellectual property laws. You may not use, reproduce, modify, distribute, or create derivative works without our written permission.
9) User Content (Reviews, Comments, Photos)
If you submit content (e.g., reviews, comments, photos), you grant URBEE a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, and display that content for marketing and operational purposes, subject to our Privacy Policy. You represent you have the right to submit it and that it does not violate any third-party rights.
10) Prohibited Conduct
You agree not to:
• misuse the Site, attempt unauthorized access, or interfere with security features;
• use bots/scrapers without permission;
• submit unlawful, infringing, or harmful content;
• engage in fraudulent transactions.
11) Disclaimer of Warranties
THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, URBEE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, URBEE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS. IN NO EVENT WILL URBEE’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO URBEE FOR THE ORDER GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so these may not apply to you.
13) Indemnification
You agree to indemnify and hold harmless URBEE and its members, managers, employees, and agents from any claims, liabilities, damages, and expenses (including attorneys’ fees) arising from your breach of these Terms or misuse of the Services.
14) Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws rules.
15) Binding Arbitration & Class Action Waiver (U.S. Standard)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes that qualify for small claims court, you and URBEE agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any purchase (“Dispute”) will be resolved by binding arbitration on an individual basis, not in court.
• No class actions: You and URBEE agree not to participate in any class, collective, or representative action.
• Arbitration rules: The arbitration will be administered by a nationally recognized arbitration provider (e.g., AAA) under its applicable consumer rules, as modified by these Terms.
• Location: Unless you and URBEE agree otherwise, arbitration will take place in Broward County, Florida, or may be conducted remotely if permitted by the arbitration provider.
• Severability: If the class action waiver is found unenforceable, this arbitration section may be deemed null and void to that extent, but the remainder of the Terms will remain in effect.
Nothing in this section prevents either party from seeking injunctive or equitable relief in court for alleged infringement or misuse of intellectual property.
16) Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.
