TERMS AND CONDITIONS OF USE
1. Agreement to Terms
By accessing or purchasing from urbeeshop.com (the "Site"), operated by URBEE LLC, a Texas limited liability company ("URBEE," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Site or purchase any products.
These Terms apply to all visitors, customers, and others who access or use the Site.
2. About URBEE
URBEE LLC is a premium lifestyle and apparel brand dedicated to pollinator conservation. URBEE operates exclusively as a direct-to-consumer (DTC) digital brand with no physical retail locations. All sales are processed online through urbeeshop.com.
3. Products and Descriptions
3.1 Apparel Products
URBEE apparel products are manufactured by Expert Apparel Manufacturing (EAM) and are made from premium natural cotton fabrics. Product images, colors, and descriptions on the Site are provided for informational purposes. Actual colors may vary slightly due to monitor settings and dye-lot variation inherent to the garment manufacturing process.
URBEE uses garment dyeing techniques. Minor color variations between units in the same order, or between orders, are a natural characteristic of this process and do not constitute a defect.
3.2 Product Availability
URBEE operates on a limited-edition drop model. Product availability is not guaranteed. URBEE reserves the right to limit quantities, discontinue products, or cancel orders if inventory errors occur. In the event of a cancellation, affected customers will receive a full refund.
4. Pricing and Payment
All prices listed on the Site are in U.S. Dollars (USD). URBEE reserves the right to change prices at any time without prior notice. Price changes do not affect orders already confirmed.
Payment is processed at the time of purchase. URBEE accepts major credit cards, debit cards, and any other payment methods displayed at checkout via our payment processor. URBEE does not store credit card information.
Sales tax will be applied where required by applicable law.
5. Orders and Fulfillment
An order confirmation email does not constitute acceptance of your order. URBEE reserves the right to refuse, cancel, or limit any order at any time. Orders may be cancelled if: (i) a product is unavailable or out of stock; (ii) there is an error in pricing or product description; (iii) fraud or unauthorized use of payment is suspected; or (iv) the order cannot be fulfilled for any operational reason.
URBEE fulfills orders from inventory held at our designated fulfillment location(s) in the United States. Fulfillment timelines are estimates and may be affected by production schedules, carrier delays, or other factors outside URBEE's control.
6. Shipping
URBEE ships to addresses within the United States and to select international destinations. Shipping rates and estimated delivery times are calculated at checkout.
URBEE is not responsible for shipping delays caused by carriers, customs agencies, weather, or other events beyond our control. Risk of loss passes to the customer upon delivery to the shipping carrier.
For international orders, the customer is solely responsible for all customs duties, import taxes, and fees imposed by the destination country. URBEE will not reimburse such charges.
7. Returns and Refunds
Please refer to our Return Policy (Section III of this document) for complete details. In summary:
- Unworn, unwashed apparel items in original condition may be returned within 30 days of delivery.
- Customized or final-sale items are not eligible for return.

8. Intellectual Property
All content on the Site, including but not limited to the URBEE name and logo, product designs, photography, graphics, copy, and the overall look and feel of the Site, is the exclusive property of URBEE LLC and is protected by applicable U.S. and international intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any URBEE content without our express prior written permission. Unauthorized use may constitute trademark or copyright infringement.
9. Mission-Related Representations
URBEE is committed to pollinator conservation as a core mission. URBEE may donate a portion of proceeds to pollinator conservation initiatives. Specific donation amounts or percentages, where stated, refer to the applicable promotional period and product line as disclosed in the relevant campaign or product description.
Any statements about environmental or ecological impact are made in good faith and represent URBEE's organizational commitments. They do not constitute warranties or guarantees of specific environmental outcomes.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, URBEE LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, VENDORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ANY PRODUCTS PURCHASED THROUGH THE SITE.
IN NO EVENT SHALL URBEE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT PAID BY YOU TO URBEE IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above apply to the fullest extent permitted by law.
11. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
URBEE does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. URBEE does not warrant that defects will be corrected or that the Site or its servers are free of viruses or other harmful components.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.
12.2 Mandatory Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products purchased from URBEE ("Dispute") shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. Arbitration shall take place in Bexar County, Texas, or remotely, as mutually agreed.
BY AGREEING TO THESE TERMS, YOU AND URBEE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.
This arbitration provision does not apply to: (i) claims for injunctive or other equitable relief; or (ii) claims that can be brought in small claims court.
12.3 Time Limitation on Claims
Any claim arising out of or relating to these Terms or URBEE products must be brought within one (1) year after the cause of action arises. Claims not brought within this period are permanently barred.
13. Indemnification
You agree to defend, indemnify, and hold harmless URBEE LLC and its members, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of the Site; (iii) your purchase or use of any URBEE products; or (iv) your violation of any applicable law.
14. Third-Party Links and Services
The Site may contain links to third-party websites or services, including but not limited to social media platforms, payment processors, and shipping providers. URBEE is not responsible for the content, privacy practices, or accuracy of any third-party sites. Linking to a third-party site does not imply endorsement by URBEE.
15. Changes to Terms
URBEE reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
